Philip’s practice focuses on cash flow finance, asset-based lending, acquisition finance, property finance, construction finance and funds finance transactions. He also has extensive experience in relation to restructuring, workouts and pre-enforcement strategies for lenders.

Philip has niche expertise in multi-layered financings in the context of leveraged buy-outs and acquisitions, loan-on-loan financings, unitranche lending arrangements and lending into QIAIF and other fund structures, particularly in the context of hotel and real estate financings involving investment companies, ICAVs or unit trusts.

Key highlights include advising:

  • A large U.S. bank as the lead financier and agent in a $2.9 billion credit facility to a family of mutual funds.
  • Various investment banks in connection with a US$2.3 billion term loan for the part financing of the acquisition of a well-known digital platform by means of a scheme of arrangement under Irish law. The consideration payable valued the entire issued and to be issued share capital of the target at approximately US$5.9 billion.
  • Various lenders in connection with site acquisition and development finance transactions, many involving QIAIF structures and green loan elements, relating to commercial real estate and residential developments.
  • Various non-bank lenders in relation to the wholesale funding requirements and their on-lending arrangements.
