Position Title: Company Secretary

To ensure that we have the right structures in place to support the achievement of our goals we are currently recruiting for an experienced Company Secretary to join our Company Secretarial & Compliance Group.
The Group offers a full suite of company secretarial, board support and compliance services to a large portfolio of Irish registered entities and investment funds, and provides technical support and practical insight into company law issues to lawyers across the firm.
Key Responsibilities
- Acting as primary point of contact for the provision of company secretarial services to a portfolio of Irish companies and Central Bank of Ireland regulated entities
- Advising on the establishment of companies
- Provide guidance regarding ongoing compliance obligations of companies, including annual return date, preparation of financial statements, audit requirements and potential exemptions, beneficial ownership analysis and disclosure, etc.
- Formulating board meeting agendas and collating board packs for circulation in accordance with an agreed timeline
- Facilitating and attending board and shareholder meetings and the preparation of minutes and action points arising from those meetings
- Documenting changes to company particulars (officers, share capital, etc) and making the appropriate filings
- Interpreting and amending company constitutions
- Maintaining of statutory books and records; completion of due diligence on entity records; and inputting and updating entity information onto electronic databases
- Liaising with and advising clients and colleagues in matters of company law and provision of support to the members the company secretarial department to complete their daily workflow
- Developing, maintaining and updating the Firm’s template documents and precedents
- Dealing with telephone queries and ensuring that such queries are handled in a professional, courteous and prompt manner
- Participation and attendance at workshops and lectures and generally promoting the Company Secretarial & Compliance Group, as required from time to time by the Head of the Company Secretarial & Compliance Group
- Suggesting improvements/amendments to systems and procedures
- Other administrative tasks and ad hoc projects as requested/ required from time to time
Experience, Knowledge & Skills
The successful candidate will have:
- Minimum 3 years of company secretarial experience
- Chartered Governance Institute UK & Ireland company secretary qualification (desirable)
- An excellent academic background
- Funds/regulated entities company secretarial experience an advantage, but not essential
- Experience using company secretarial databases (such as GEMS, Diligent Entities / Blueprint, Relate, etc) and ideally board meeting portals (Diligent Boards, BoardVantage, Board Intelligence, etc)
- Working knowledge of the Companies Act essential, and Central Bank of Ireland corporate governance requirements for regulated entities helpful.
- Strong interpersonal skills which are essential to provide support, assistance and guidance to entities and their officers on meeting their statutory compliance obligations, thus helping to ensure good corporate governance practices are implemented and maintained.
- Excellent numerical skills and attention to detail
- A high degree of discretion and the ability to work with sensitive and confidential data.
- Good time management skills, the ability to manage a busy workload and meet required and often tight deadlines.
- Strong Microsoft office skills
- A positive attitude, the ability to take ownership and responsibility for the completion of tasks and the ability to take and demonstrate initiative.
