Ronan has extensive experience in acting for both sellers and purchasers of commercial aircraft, whether in single-aircraft transactions or transactions involving large portfolios of aircraft assets. He has also advised a number of aircraft lessors in a diverse range of debt financing transactions, both on a secured and unsecured basis, and on a number of aviation related capital markets transactions (including aircraft portfolio securitisations and unsecured note issuances).

Ronan has acted for a number of aircraft lessors in their operating lease agreements, whether in new lease transactions or in complex lease amendments and restructurings. He has experience in advising parties involved in significant M&A transactions involving Irish aircraft leasing companies. In addition, Ronan has acted for the firm’s clients in the establishment of aviation related joint ventures and in servicing arrangements involving aviation assets.

Key highlights include advising:

  • AerCap Holdings N.V. in:
    • its acquisition of GE Capital Aviation Services Limited for consideration in excess of US$30 billion;
    • the Irish law aspects of its unsecured bond program, including its issuance of senior unsecured notes and junior subordinated notes;
    • the sale of various portfolios of aircraft to a number of its trading partners; and
    • numerous secured financing transactions, unsecured financing transactions and warehouse facilities;
  • Genesis Aircraft Services Limited in:
    • a number of aircraft purchase and sale transactions involving both single-aircraft and multiple aircraft portfolios;
    • complex lease amendments and lease restructurings with a number of its airline customers; and
    • a number of secured refinancing projects in respect of large portfolios of aircraft, engines and aircraft components;
    • Jetran, L.L.C. in connection with a number of its operating leasing, finance leasing and secured financing transactions;
    • a number of aircraft lessors and a secured creditor in connection with the Irish examinership of Norwegian Air Shuttle and certain of its Irish incorporated affiliates;
  • Sirius Aviation Capital in:
    • the establishment of its aircraft leasing platform;
    • the establishment of a number of joint ventures, including with affiliates of Corrum Capital Management and HPS Investment Partners, and advising those joint ventures on the acquisition, refinancing and sale of numerous aircraft; and
    • the purchase, financing and sale of various portfolios of aircraft;
  • Sky Leasing in:
    • the establishment of a 21 aircraft US$780 million asset backed securitisation, S-JETS 2017-1 Limited;
    • the purchase and sale of various portfolios of aircraft;
    • the entry into an acquisition facility, the proceeds of which were used to part-finance the purchase of a portfolio of 12 aircraft; and
    • new operating lease agreements with a European airline in respect of a portfolio of aircraft.
