McCann FitzGerald LLP advises Vertiv on its acquisition of UtilityInnovation Group

We are pleased to have advised Vertiv Holdings Co. (NYSE: VRT), a global leader in critical digital infrastructure, and its wholly owned subsidiary, Vertiv Corporation, in connection with its agreement to acquire UtilityInnovation Group ("UIG"), for approximately $1.45 billion (c. €1.25 billion) in cash at closing, with additional potential earnout consideration of up to $1.15 billion (c. €0.99 billion) in cash, subject to regulatory approvals and customary closing conditions. McCann FitzGerald LLP acted as legal counsel to Vertiv on all Irish law aspects of the transaction. Buchanan Ingersoll & Rooney PC acted as lead counsel for Vertiv.

Founded in 2020, UIG is a leader in microgrid solutions, advanced power controls and behind-the-meter power architecture design for data centres across the United States and Europe. UIG is headquartered in Raleigh, North Carolina, with European headquarters in Dublin, Ireland. The acquisition extends Vertiv's power and cooling portfolio from grid interconnect to chip, adding microgrid controls, onsite generation and energy storage orchestration, and behind-the-meter power architecture capabilities, all which are expected to help data centre operators secure power faster.
