Clementine works across the breadth of the Pensions & Incentives Group’s employer and trustee client list advising on all issues arising including trustee duties, the exercise of trustee discretions, the application of statutory regulations, administrative matters and review of service level agreements, pension adjustment orders, internal dispute resolution and referrals to the FSPO as well as clients’ strategic projects such as buy-outs, enhanced transfer value exercises, funding issues and parent company guarantees, mergers, and wind-ups. Clementine has significant experience in the pensions aspects of corporate transactions and provides legal training to trustees and scheme committees.  Clementine has an extensive approved profit-sharing scheme (APSS), save as your earn (SAYE) practice and unapproved incentive arrangements. 

She is the Chairperson of the Association of Pension Lawyers in Ireland and a Chartered Accountant. She is a member of the UK Association of Pension Lawyers. 

Key highlights include advising:

  • Corporates and Trustees in relation to DB scheme mergers and DC scheme mergers and moves to master trust vehicles;
  • Corporates and trustees in connection with closure of deferred benefit schemes to new members, closure to future accrual, buy-ins and buy-outs, and on wind-up;
  • Trustee clients in relation to the exercise of discretion, trustee powers and duties, ill-health early retirements, pension adjustment orders, and internal dispute resolution procedures;
  • Statutory schemes in relation to abatement, the public service transfer network, discretionary benefits, and the interaction with the Single Scheme;
  • Employer entities in the public, private and charity sectors in relation to the implementation of automatic enrolment;
  • Listed companies in relation to the design, establishment and implementation of Revenue approved and unapproved employee share option and incentive plans including governance, regulatory and shareholder issues.
